No person receiving a copy of the admission document in any territory other than the UK may treat the same as constituting an offer or invitation to him to purchase or subscribe for ordinary shares nor should he in any event purchase or subscribe for ordinary shares unless such an invitation or purchase complies with any registration or other legal requirements in the relevant territory. Any person outside the UK into whose possession the admission document comes or who wishes to purchase ordinary shares should satisfy himself that, in doing so, he complies with the laws of any relevant jurisdiction and that he obtains any requisite governmental or other consents and observes any other applicable formalities.

Ms. Gupta is portfolio advisor to Leaf and serves as a Director on the board of Skyfuel, Inc., Maxwest, Telogia Power and Rabun Gap. Previously, Ms. Gupta provided senior level consulting services to Leaf Clean Energy Company’s Board of Directors and EEA Fund Management Ltd. Prior to establishing her consulting business, Gupta Consulting where she serves as CEO, Ms. Gupta was Managing Director and Head of Alternative Energy for JP Morgan’s US investment banking division. She joined JPMorgan in 2007 after serving as Managing Director, Equity Portfolio for GE Energy Financial Services where she managed $1Bn in equity investments spanning renewables and other energy assets and guided execution of more than 20 asset sales. Ms. Gupta started her career as a corporate lawyer and transitioned to investment banking, spending 1994 to 2003 in Morgan Stanley’s Energy Group.
Ms. Gupta’s experience includes extensive portfolio and asset management, investment banking, financial advisory, mergers and acquisitions, and equity and debt financings in the global energy and cleantech sectors. She recently advised Geronimo Wind Energy LLC on its strategic partnership with Enel NA.
Ms. Gupta holds a J.D. from Columbia University and a B.S. from SUNY-Albany.
