The total issued ordinary shares in Leaf Clean Energy Company is 200m shares. All of the shares are in public hands. The ordinary shares have not been registered in the United States under the Securities Act or under other applicable securities law and are subject to restrictions on transfer imposed by such law. They may not be resold in the United States, except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities law.
